Terms of Use

Introduction

By accessing or using voices.nimipiko.com (the "Platform") or any services offered by Nimipiko Studio Ltd ("Nimipiko", "we", "us"), you agree to be bound by these Terms of Use. If you do not agree, you must not use the Platform or engage our services. These terms apply to all visitors, clients, voice artists, and ambassadors.

1. Services

Nimipiko Studio Ltd provides professional audio production services including:

• Voice-over narration in English, French, Kinyarwanda, Swahili, and other African languages
• E-learning, commercial, documentary, gaming, audiobook, and podcast voice-overs
• Royalty-free sound library licensing (African-inspired music and audio tracks)
• Visual Soul — animated brand identity kits powered by authentic African voice narration
• Ambassador and referral programmes

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

2. Project Process & Deposits

Our standard production process is as follows:

• You submit a project brief (script, language, tone, deadline)
• We provide a written quote within 2 business hours
• We record a free sample from your actual script — at no cost and with no obligation
• You review the sample and approve the voice and direction
• You pay a 25% deposit to confirm production
• We complete full production and deliver your files
• You approve the final delivery and pay the remaining 75% balance
• All intellectual property rights transfer to you upon receipt of the final payment

No deposit is required before you hear the sample. You are never committed to proceeding until you explicitly approve.

3. Payment Terms

• All prices are quoted in USD unless otherwise agreed in writing
• A 25% deposit is due after sample approval to begin full production
• The remaining 75% balance is due upon delivery of the final files and client approval
• Accepted payment methods: Visa, Mastercard, American Express, MTN Mobile Money
• Enterprise clients with ongoing contracts may arrange monthly invoicing by prior written agreement
• Invoices unpaid beyond 14 days of the agreed due date may incur a late fee of 1.5% per month
• All payments are non-refundable once production has commenced, except as provided in Section 5
• Nimipiko does not store full card details — payments are processed via PCI-compliant third-party processors

4. Intellectual Property

• Upon receipt of full and final payment, you receive a royalty-free, perpetual, worldwide licence to use the delivered audio for any lawful commercial or non-commercial purpose
• You may broadcast, distribute, modify, and sublicense the recordings without attribution
• Nimipiko retains the right to reference the project in its portfolio unless you request confidentiality in writing before production begins
• Nimipiko can sign a Non-Disclosure Agreement (NDA) on request — at no additional cost
• Before full payment is received, all recordings remain the property of Nimipiko Studio Ltd
• The Nimipiko brand name, logo, and website content are protected by copyright and may not be reproduced without written permission

5. Revisions & Satisfaction Guarantee

We stand behind our work:

• Every project includes unlimited revisions at no additional charge
• Revisions are conducted until the delivery matches your approved brief
• If, after reasonable revision rounds, we genuinely cannot meet the standard specified in your brief, you are not required to pay the remaining balance
• Revision requests must be specific and consistent with the original approved brief — changes to the creative direction after approval may be treated as new work
• Rush revision requests (within 4 hours) may incur an additional fee, which will be agreed in advance

We have never had to invoke the no-balance clause, but it is real and contractual.

6. Delivery & Formats

• Standard delivery: 24–72 business hours for most projects after deposit confirmation
• Audiobooks and multi-language campaigns: 3–5 business days
• Rush delivery is available — contact us for availability and pricing
• Default delivery formats: MP3 (320kbps) and WAV (44.1kHz / 24-bit)
• We also deliver in: AIFF, OGG, FLAC, SCORM-compatible, ACX-compliant, chapter-mastered, and broadcast-normalised (-23 LUFS) on request
• Files are delivered via secure download link valid for 30 days — request an extension if needed
• We are not liable for delays caused by client failure to provide materials, approvals, or payments on time

7. Prohibited Uses

You may not use our Platform or services to:

• Produce content that is defamatory, obscene, fraudulent, harassing, or illegal under Rwandan or international law
• Impersonate another person or organisation without authorisation
• Reverse-engineer, copy, or resell Nimipiko's Platform, tools, or proprietary processes
• Use delivered recordings to train AI models, text-to-speech systems, or voice cloning tools without prior written consent
• Transmit malware, spam, or disruptive code to our systems
• Circumvent payment obligations through chargebacks without valid grounds

Violation of these terms may result in immediate termination of your account and legal action.

8. Limitation of Liability

• Nimipiko's total liability to you for any claim is limited to the amount you paid for the specific project giving rise to the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We do not guarantee uninterrupted or error-free access to the Platform
• We are not responsible for the content of scripts provided by clients — you warrant that you have the right to use all materials submitted to us
• Force majeure: we are not liable for delays caused by events beyond our reasonable control

9. Amendments

Nimipiko reserves the right to update these Terms of Use at any time. We will notify registered users of material changes via email or a prominent notice on the Platform. Continued use of our services after the effective date of any changes constitutes acceptance of the revised terms. We recommend reviewing this page periodically.

10. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the Republic of Rwanda. Any disputes arising from or relating to these terms or our services shall first be subject to good-faith negotiation. If unresolved, disputes will be submitted to the competent courts of Kigali, Rwanda.
