Ambassador & Affiliate Partnership Agreement

1. Introduction

This Ambassador & Affiliate Partnership Agreement (“Agreement”) is entered into between Nimipiko Studio Ltd (“Nimipiko”, “Company”, “we”, or “us”) and the individual or entity registering as an Ambassador or Affiliate (“Ambassador”, “you”, or “your”). This Agreement governs your participation in the Nimipiko Studio Ambassador & Affiliate Program and establishes a professional, non-exclusive partnership.

2. Definitions

Referral: A new client who engages Nimipiko Studio services using your approved referral link or promotional code.

Commission: A commission equal to twenty percent (20%) of the net revenue generated from qualified referrals.

Client Discount: A ten percent (10%) discount granted to referred clients using your promotional code.

Active Ambassador: An Ambassador whose account is approved, compliant, and in good standing with Nimipiko Studio.

3. Eligibility & Enrollment

You must be at least eighteen (18) years of age to participate.

You agree to provide accurate, complete, and up-to-date registration information.

Employees, contractors, or direct partners of Nimipiko Studio Ltd are not eligible unless explicitly authorized in writing.

4. Referral & Promotional Guidelines

Each Ambassador is provided with a unique referral link and/or promotional code.

Discounts apply only when the referral code is properly used at the time of purchase.

Referrals are considered valid only after full payment is successfully completed.

Ambassadors must represent the Nimipiko Studio brand professionally and ethically at all times.

5. Commission Structure & Payments

Ambassadors earn a twenty percent (20%) commission on all qualified and confirmed referrals.

Commissions are calculated monthly and paid via approved payment methods.

Nimipiko Studio Ltd reserves the right to modify commission structures with reasonable prior notice.

6. Term, Suspension & Termination

This Agreement becomes effective upon approval of your Ambassador registration.

Either party may terminate this Agreement at any time, with or without cause.

Upon termination, access to referral tools and future commissions will cease.

7. Confidentiality & Intellectual Property

Ambassadors must maintain confidentiality of non-public Company information.

All Nimipiko Studio intellectual property remains the exclusive property of the Company.

No ownership rights are granted under this Agreement.

8. Limitation of Liability

Nimipiko Studio Ltd shall not be liable for indirect or consequential damages.

Participation in the program is voluntary and at your own risk.

9. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the Republic of Rwanda.

Disputes shall be resolved through mediation, then arbitration if required.

10. Acceptance

By accepting, you confirm that you have read, understood, and agree to be legally bound by this Agreement.
